Start with the EB-5 eligibility and application overview
What the programme requires in the first place
The current minimum investment is $1,050,000 generally or $800,000 for a targeted-employment-area or qualifying infrastructure investment, subject to re-verification before funds move. The capital must be placed at risk in a new commercial enterprise that creates at least ten full-time positions for qualifying U.S. workers. The petition must also document the lawful source and path of the funds, and the investor must engage in management or policy formulation.
Material change before and after approval
The consequences of a project changing its plan depend on timing. A material change while a petition is pending can require the petition to be refiled on the new facts, since a petition is adjudicated on the circumstances as they existed when it was filed. After approval, and particularly after conditional residence begins, the analysis is different and focuses on whether the requirements will still be met. This is a point on which investors should take advice specific to their own filing date.
Sustainment and redeployment
Capital must remain at risk for the period the law requires rather than merely at the moment of investment. Where a project repays its borrower before that period ends, funds are often redeployed into another qualifying use, and the terms on which a project may do that are set by its own documents. An investor should read what the offering permits and understand that redeployment is a real feature of these structures, not an emergency.
Conditional residence and removing conditions
Approval leads to two years of conditional permanent residence for the investor, spouse and unmarried children under twenty-one, followed by Form I-829 to remove conditions. The I-829 filing must show that the capital was sustained as required and the jobs were created. It is a second adjudication relying heavily on project-generated evidence, so investors should establish at the outset what reporting the project will provide and when. Project selection also demands an evidence decision. The subscription agreement records what was purchased; the economic report and later operating records address projected jobs and whether the facts can support the conditions filing. Retain each version and ask how material developments will be reported before funds are committed.
Decide between a regional-center project and a direct investment
Identify the project location, the rural or high-unemployment basis claimed, the relevant USCIS designation or project approval and its applicable dates. A limited partner in a properly structured regional-center vehicle can meet this through the rights that the partnership agreement gives, but that only works if those rights are real and documented. A first review should identify whether the project relies on direct, indirect, or induced employment methodology and then trace every claimed position to the appropriate supporting record.
