Hypothetical example: a Guelph company proposes to transfer an executive while an ownership transaction is still pending. The L-1A analysis must connect the qualifying foreign employment, the organizations’ relationship and the real U.S. executive or managerial duties. Signing a share purchase agreement does not necessarily mean the intended corporate relationship already exists. A workable L-1A record proves three separate propositions: the companies have a qualifying relationship, the transferee completed a continuous twelve months of qualifying overseas employment during the prior thirty-six months, and the US position is managerial or executive. The maximum stay is seven years in L-1A status. Organize the evidence by proposition, because a strong résumé cannot repair a missing ownership record or a job that is chiefly operational. Test the claimed leadership position against the company’s ordinary operating records: delegated approvals, direct reports, budgets and work allocation. This reveals whether management is real or merely a title attached to hands-on production. The company must decide whether its present organization can support the petition without obscuring who actually performs core work. Keep a short internal memorandum explaining why the transfer serves the related organizations at this stage. It should identify the function, subordinate structure, authority and foreign employment dates in one place. This gives decision-makers a way to test whether the proposed role remains genuinely managerial as business plans and transaction dates move.

01

Establish ownership at the relevant time

Identify the current parent, subsidiary, affiliate or branch relationship using actual ownership and control records. Describe a pending transaction as pending. Commercial cooperation, common customers or an intention to acquire the US company is not a substitute for a qualifying relationship. Map ownership and control as they existed when the petition is filed. Share ledgers, formation records, purchase documents and organization charts should tell the same story. A future reorganization is not proof that the relationship already qualifies.

02

Review the foreign role and chronology

Collect evidence of one continuous year of qualifying employment abroad within the three years before the petition. Explain the role actually performed and any interruptions or travel. A later promotion cannot simply rewrite the capacity in which the earlier work occurred. Describe what the manager directs, who carries out production work, and how discretionary authority is exercised. Headcount alone does not decide the issue, but the staffing structure and job records must make the claimed level of responsibility believable.

03

Define the post-transaction authority

Set out which policies, budgets, personnel or essential function the transferee will direct. Show who performs routine operating tasks. A plan to integrate two businesses may support an important assignment without necessarily establishing primarily managerial or executive duties. Build the overseas employment timeline from payroll, contracts, attendance and corporate records. Identify any leave, transfer, contractor period or change of employer rather than silently compressing the chronology. The continuous qualifying year is a factual threshold.

04

Track continuing operations

Confirm the required qualifying business activity in the United States and abroad. A transaction that eliminates or changes an operation may affect the case beyond the organization chart. If new-office rules apply, secure sufficient premises and show capacity to support a primarily managerial or executive role within one year; initial approval is limited to one year. L-1A status is subject to a maximum of seven years. Plan extensions against operating evidence, not just the original business plan. Revenue, staffing, authority and role evolution may all matter. A transferee must also track the applicable seven-year ceiling rather than assuming a new title restarts the clock.
